These Terms of Service (“Terms”) form a legal agreement between you (whether as a registered user, service provider, or visitor) and ST Comp Holdings Sdn. Bhd. (Company No. 201401007634), a company incorporated in Malaysia and operating under the brand name Anycomp (“we,” “us,” or “our”).
These Terms govern your access to and use of anycomp.com, our mobile applications, and any related services, platforms, or tools we own or operate (collectively, the “Platform” or “Anycomp Platform”).
By accessing, browsing, or using the Platform, you agree to comply with and be bound by these Terms. Please read them carefully, as they describe your rights, responsibilities, and obligations when engaging with Anycomp.
1. Introduction & Acceptance
1.1 Contracting Entity
These Terms of Service (“Terms”) form a legal contract between you and ST Comp Holdings Sdn. Bhd. (Company No. 201401007634), a Malaysian company operating as Anycomp (“we,” “us,” or “our”).
1.2 Acceptance of Terms
By clicking “I Agree,” creating an account, or using the Anycomp Platform (including its website, mobile apps, APIs, payment features, and related services), you agree to be bound by these Terms, our Privacy Policy, Payment Terms, Escrow Terms, and other supplemental policies. If you do not agree, you must not access or use the Anycomp Platform.
1.3 Electronic Consent
You consent to electronic communications, contracts, and signatures, which have the same legal effect as handwritten signatures under Malaysia’s Electronic Commerce Act 2006.
1.4 Geographic Availability
The Anycomp Platform is designed for use in Malaysia but may be accessed globally where lawful. You are responsible for ensuring your use complies with your local laws.
1.5 Authority to Bind
If you use the Platform on behalf of a company or entity, you represent that you have the authority to bind that entity to these Terms, and all actions taken are attributable to that entity.
1.6 Changes to Terms
We may update these Terms as outlined in Section 15 (Modification to Terms). Your continued use after receiving notice of changes constitutes acceptance of the updated Terms.
2. Key Terms and Definitions
- Anycomp Platform: The online system operated by Anycomp, including its website, mobile apps, APIs, communication tools, document storage, and other digital services.
- Client: Any individual, company, or entity using the Platform to request or obtain company incorporation, corporate secretarial, or related governance services.
- Company Secretary: A licensed individual or entity registered with the Suruhanjaya Syarikat Malaysia (SSM) or a recognized body (e.g., MAICSA, MIA, BAR Council Malaysia, MICPA, or others under Section 235(2) of the Companies Act 2016) offering secretarial services via the Platform.
- eKYC: Electronic Know Your Customer processes used for identity verification and compliance on the Platform.
- eSignature: Electronic Signature that has the same effect as a handwritten signature under Malaysia’s Electronic Commerce Act 2006.
- Order: A binding agreement between a Client and a Company Secretary for specific services purchased through the Platform.
- Policies: Supplemental terms, including the Privacy Policy, Payment Terms, Escrow Terms, Acceptable Use Policy, Refund Policy, and Cookie Policy.
- Services: Company incorporation, secretarial, banking support, and compliance services provided by Company Secretaries to Clients via the Platform.
- SSM: The Companies Commission of Malaysia, the regulatory body overseeing company law and corporate governance under the Companies Act 2016.
- User-Generated Content (UGC): Documents, communications, eSignatures, secretarial service listings, or other materials uploaded or submitted by users to the Platform.
3. Scope of Services & Role of Anycomp
3.1 Platform Overview
The Anycomp Platform is a technology platform & marketplace that connects Clients with licensed Company Secretaries to facilitate company incorporation, corporate secretarial, and related compliance services. It includes features like escrow payments, messaging, document storage, eSignatures, and compliance reminders.
3.2 Role of Anycomp
Anycomp is not a law firm, accounting firm, or company secretarial firm and does not:
- Provide legal, tax, accounting, financial, or secretarial advice.
- Act as an employer, partner, or representative of Company Secretaries.
- Endorse, supervise, or guarantee the quality, legality, or suitability of services provided by Company Secretaries.
- Enter into contracts between Clients and Company Secretaries.
Company Secretaries are solely responsible for the performance, accuracy, and compliance of their services with Malaysian laws, including the Companies Act 2016 and SSM regulations.
3.3 Service Standards
Services offered on the Platform must:
- Comply with the Companies Act 2016, SSM guidelines, and other applicable laws.
- Be clearly described, transparent in pricing, and regularly updated.
- Include appropriate images reflecting the service quality, with delivered services matching the depicted quality.
- Protect client confidentiality under data privacy and professional secrecy standards.
- Avoid misrepresentation, non-compliance, or unrelated physical goods (except company seals, statutory registers, or certified incorporation documents).
4. User Accounts & Eligibility
4.1 Eligibility Requirements
To create an account, you must:
- Be at least 18 years old and have the legal capacity to enter binding contracts under Malaysian law and your local jurisdiction.
- Provide accurate, complete, and verifiable information, including full legal name, valid ID (e.g., IC, Passport), and company details (if applicable).
- Not be legally incapacitated (e.g., undischarged bankrupt or under guardianship).
Accounts created by minors or legally incapacitated individuals are invalid. Anycomp may request proof of age or capacity and suspend or terminate accounts if eligibility cannot be verified.
4.2 Account Security & Non-Transferability
- Accounts are personal, non-transferable, and non-shareable. You may not sell, lease, or allow unauthorized access to your account or share login credentials.
- You are responsible for all activity under your account, whether by you or a third party.
- Maintain the confidentiality of your login credentials and update passwords regularly.
- Anycomp may use device monitoring, IP tracking, or other security measures to detect unauthorized account use.
4.3 Consequences of False Information
Accounts registered with false, misleading, or incomplete information, fraudulent documents, or misrepresented authority may be suspended or terminated immediately.
5. Client Responsibilities
5.1 Client Responsibilities
Clients must:
- Register Accurately: Provide truthful and lawful information during registration, including legal name, ID, and company details.
- Purchase Exclusively via Platform: Engage services only through Anycomp’s payment and escrow systems. Direct or off-platform agreements with Company Secretaries are prohibited and may result in account suspension, forfeiture of funds, or legal action.
- Own and Manage Data: Retain ownership of all company-related data and documents uploaded to the Platform. Ensure data accuracy, security, and compliance with applicable laws (e.g., Personal Data Protection Act 2010).
- Respond Promptly: Provide required information, documents, or authorizations to Company Secretaries to avoid delays in service delivery.
5.3 Consequences of Violations
Violations by Clients or Company Secretaries, such as off-platform engagements, false information, or non-compliance, may result in:
- Immediate account suspension or termination.
- Forfeiture of escrow funds or unpaid balances.
- Referral to regulators (e.g., SSM) or legal action.
6. Company Secretary Responsibilities
6.2 Company Secretary Responsibilities
Company Secretaries must:
- Maintain Valid Licensing: Hold an active license from SSM or a recognized body (e.g., MAICSA, MIA, BAR Council Malaysia, MICPA, or others under Section 235(2) of the Companies Act 2016). Provide verifiable details, including SSM license number and practicing certificate.
- Engage Exclusively via Platform: Not solicit or contract with Clients introduced through Anycomp outside the Platform. Violations may lead to suspension, removal, or legal action.
- Process Payments via Platform: Accept payments only through Anycomp’s payment system, maintaining transparent records of fees and escrow arrangements.
- Deliver Compliant Services: Perform services in accordance with the Companies Act 2016, SSM guidelines, and professional standards. Ensure confidentiality and data security.
- Maintain Service Quality: Regularly update service listings, ensure pricing transparency, and deliver services matching the described quality. Repeated failure may result in account deactivation. Services must comply with Section 3.3 Service Standards.
- Avoid Prohibited Goods: Only ship physical goods directly tied to services (e.g., company seals, statutory registers). Selling unrelated goods is prohibited.
6.3 Consequences of Violations
Violations by Clients or Company Secretaries, such as off-platform engagements, false information, or non-compliance, may result in:
- Immediate account suspension or termination.
- Forfeiture of escrow funds or unpaid balances.
- Referral to regulators (e.g., SSM) or legal action.
7. Orders & Transactions
7.1 Order Process
An Order is a binding contract between a Client and a Company Secretary for specific services purchased through the Anycomp Platform, such as company incorporation, corporate secretarial services, or compliance-related tasks. Anycomp is not a party to this contract and is not responsible for the quality, outcome, or compliance of the services provided, as outlined in Section 3.2 (Role of Anycomp) and Section 11 (Limitation of Liability) of these Terms of Service.
Client Responsibilities:
- Provide Accurate and Complete Information: Submit accurate, complete, and lawful information, documents, and authorizations required for the service (e.g., identification details, company particulars, or statutory forms) at the time of placing the Order or as requested by the Company Secretary.
- Timely Submission: Provide all required information and documents promptly, within the timeframe specified in the service listing or as agreed with the Company Secretary. For services with an expected delivery time of three (3) working days, Clients must submit all necessary information and documents within 24 hours of placing the Order, unless otherwise specified in the service listing.
- Respond Promptly to Queries: Address Company Secretary queries or requests for additional information within one (1) working day to avoid delays in service delivery.
- Compliance with Laws: Ensure all submitted information complies with the Companies Act 2016, Personal Data Protection Act 2010 (PDPA), and other applicable Malaysian laws, as well as any relevant regulations in the Client’s jurisdiction.
Consequences of Client Delays:
- If a Client fails to provide required information or documents within the specified timeframe (e.g., 24 hours for a three-day service), the Company Secretary is not obligated to meet the expected delivery timeline, and Anycomp will not be liable for resulting delays (see Section 11.2, Excluded Damages).
- Clients are not entitled to request cancellations or refunds based on delays caused by their failure to provide necessary information or documents promptly, as outlined in the Payment Policy (Section 5, Refunds). For example, if a service is expected to take three days but the Client has not provided the required information to proceed, the Order remains active, and no refund or cancellation will be processed unless agreed by the Company Secretary and approved by Anycomp.
- Repeated failure to respond promptly or provide complete information may result in Order cancellation by the Company Secretary, subject to Anycomp’s review, with no refund issued and potential account suspension per Section 13.1 (Grounds for Action).
Company Secretary Responsibilities:
- Compliant Service Delivery: Perform services in strict compliance with the Companies Act 2016, Suruhanjaya Syarikat Malaysia (SSM) regulations, Anycomp standards (Section 3.3, Service Standards), and professional licensing requirements under Section 235(2) of the Companies Act 2016.
- Prompt Action: Initiate work on an Order within the same or next working day after receiving all required information and documents from the Client, unless otherwise specified in the service listing or agreed with the Client. For services with an expected delivery time of three days, Company Secretaries must aim to complete the service within this timeframe, provided the Client fulfills their responsibilities.
- Professional Conduct: Maintain professionalism, confidentiality, and data security when handling Client information, in accordance with the PDPA and professional secrecy standards (see Section 9, Privacy & Data Protection).
- Timely Communication: Notify Clients promptly, within one (1) working day, of any issues, delays, or changes affecting the Order, using the Platform’s messaging system to ensure transparency and traceability.
- Transparent Updates: Update service progress and status on the Platform to keep Clients informed and facilitate dispute resolution, if needed.
Consequences of Company Secretary Delays:
- Failure to initiate work within the same or next working day after receiving complete Client information, or failure to meet the agreed delivery timeline (e.g., three days for specified services), may constitute a breach of service standards, subject to Client feedback and Anycomp’s review.
- Repeated delays or failure to deliver services as agreed may result in negative performance ratings, loss of account level, or account deactivation, as outlined in Section 6.2 (Company Secretary Responsibilities) and the Payment Policy (Section 4.2, Company Secretary Fees).
- If delays are caused by factors beyond the Company Secretary’s control (e.g., SSM processing times, force majeure per Section 16.3), they must notify the Client immediately, and Anycomp will not hold the Company Secretary liable, provided communication is timely.
7.2 Order Execution and Completion
- Order Initiation: An Order is initiated when a Client places a request through the Platform, selects a Company Secretary, and submits payment to the escrow system, as detailed in the Payment Policy (Section 3, Escrow System).
- Service Delivery Timeline: The expected delivery timeline (e.g., three days for certain services) begins once the Client provides all required information and documents. The Company Secretary must confirm receipt of these materials via the Platform within one working day.
- Completion and Acceptance: Upon completion, the Company Secretary submits deliverables (e.g., incorporation documents, statutory filings) to the Client via the Platform. The Client must review and accept the deliverables within seven (7) working days, or the Order will be deemed completed, and escrow funds will be released to the Company Secretary, per the Escrow Terms.
- Delays Due to External Factors: Delays caused by third parties (e.g., SSM processing, bank approvals) or force majeure events (Section 16.3) do not constitute a breach by the Company Secretary, and Anycomp is not liable for such delays (Section 11.2, Excluded Damages).
7.3 Cancellations and Refunds
- Client-Initiated Cancellations: Clients may request cancellation of an Order before the Company Secretary begins work, subject to the Payment Policy (Section 5.2, Cancellation). If the Client fails to provide required information within the specified timeframe (e.g., 24 hours for a three-day service), cancellation requests will not be approved unless agreed by the Company Secretary and Anycomp. No refunds will be issued for delays caused by the Client’s failure to provide necessary information or documents.
- Company Secretary Cancellations: Company Secretaries may cancel an Order if the Client fails to provide required information within a reasonable period (e.g., seven working days after the initial request) or if the Order cannot be fulfilled due to legal or regulatory issues. In such cases, refunds are processed per the Payment Policy (Section 5.3, Refund Process), and escrow funds are returned to the Client, minus any applicable Platform fees.
- Dispute Resolution: If disputes arise regarding delays, cancellations, or refunds, parties must follow the dispute resolution process outlined in Section 14.3 (Dispute Resolution Process) and the Payment Policy (Section 6, Dispute Resolution). Anycomp may mediate but is not liable for the outcome, as it is not a party to the Order contract.
7.4 Legal Protections for Anycomp
- Non-Liability for Delays: Anycomp is not responsible for delays in service delivery caused by Clients, Company Secretaries, or external factors (e.g., SSM, force majeure), as reinforced in Section 11 (Limitation of Liability) and Section 3.2 (Role of Anycomp).
- Facilitator Role: Anycomp acts solely as a technology platform facilitating the connection between Clients and Company Secretaries. It does not control, supervise, or guarantee the performance or outcome of services, per Section 3.2.
- Indemnification: Clients and Company Secretaries indemnify Anycomp against claims arising from delays, incomplete information, or non-compliance with these Terms, as outlined in Section 12 (Indemnification).
- Regulatory Compliance: All Orders must comply with the Companies Act 2016, SSM regulations, and other applicable laws. Anycomp may report non-compliant Orders to regulators (e.g., SSM) and is not liable for violations by Clients or Company Secretaries (Section 6.3, Consequences of Violations).
7.5 Reviews & Feedback
- Clients may submit honest reviews of Company Secretaries based on service quality and timeliness.
- Defamatory, abusive, or fraudulent reviews are prohibited and may be removed by Anycomp.
- Company Secretaries must not manipulate ratings through fake reviews or incentives, which may result in account suspension or termination.
8. Use of the Platform
8.1 Limited License
Subject to compliance with these Terms, Anycomp grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful purposes, such as:
- Creating and managing accounts.
- Requesting or providing company incorporation and secretarial services.
- Using features like escrow, messaging, document storage, eSignatures, and compliance reminders.
Any use outside these purposes is prohibited.
8.2 User Responsibilities
You agree to:
- Provide accurate, current, and complete information at all times.
- Maintain the confidentiality and security of your login credentials.
- Accept responsibility for all actions and communications under your account, whether by you or a third party.
- Use the Platform in good faith and in compliance with all applicable laws.
- Notify Anycomp immediately of any unauthorized account use or security breach.
8.3 Prohibited Uses
You may not:
- Engage in off-platform agreements with Clients or Company Secretaries to bypass Anycomp’s systems.
- Use the Platform for fraudulent, misleading, or unlawful purposes (e.g., tax evasion, money laundering, or fraudulent incorporations).
- Reverse engineer, decompile, or tamper with the Platform, its APIs, or payment systems.
- Upload or transmit false, deceptive, confidential (without consent), or harmful content, including viruses or malicious code.
- Engage in spam, unsolicited marketing, data scraping, or harvesting of user information.
- Circumvent or interfere with Platform security or access controls.
8.4 User-Generated Content (UGC)
- Clients own all company-related data and documents uploaded to the Platform. Anycomp and Company Secretaries act only as facilitators for storage and processing.
- You warrant that your UGC (e.g., documents, service listings) is lawful, owned by you or used with permission, and does not infringe third-party rights.
- Anycomp may monitor, remove, or suspend access to UGC that violates these Terms.
8.5 Intellectual Property
- All Platform content (e.g., software, logos, designs) is owned by Anycomp or its licensors. No ownership rights are transferred except for the limited license above.
- You may not use Anycomp’s intellectual property without prior written consent.
8.6 Platform Availability
- Anycomp does not guarantee uninterrupted or error-free operation due to maintenance, upgrades, cyberattacks, or force majeure events (see Section 16.3).
- You have no claim against Anycomp for temporary unavailability.
9. Privacy & Data Protection
9.1 Data Practices
The Platform’s data practices are governed by our Privacy Policy. We comply with Malaysia’s Personal Data Protection Act 2010 (PDPA) and, where applicable, international regulations like the GDPR.
9.2 Data Storage & Security
- User, company, and eKYC data are stored securely in third-party cloud infrastructure, encrypted in transit and at rest.
- Anycomp may retain data as required for regulatory compliance (e.g., SSM, LHDN) or dispute resolution, per Malaysian law.
9.3 Use of Data
- eKYC data is used solely for identity verification and compliance.
- Data may be shared with regulators (e.g., SSM, LHDN, MDEC) when legally required.
- Third-party service providers (e.g., cloud hosting, communication tools) may process data under strict data protection agreements.
10. Representations & Warranties
10.1 Client Warranties
Clients represent and warrant that:
- All information, documents, and declarations submitted are accurate, truthful, and lawful.
- They comply with all applicable laws, including the Companies Act 2016 and PDPA.
10.2 Company Secretary Warranties
Company Secretaries represent and warrant that:
- They hold a valid, active license from SSM or a recognized body (e.g., MAICSA, MIA).
- They are authorized and competent to provide services offered on the Platform.
- Services comply with the Companies Act 2016, SSM guidelines, and professional standards.
10.3 Anycomp Disclaimers
Anycomp provides the Platform “as-is” and does not warrant:
- Uninterrupted or error-free access.
- Approval of filings or submissions by SSM or other regulators.
- Specific outcomes, business results, or compliance status from using the Platform.
- The success, viability, or performance of any incorporated company.
11. Limitation of Liability
11.1 General Cap
To the maximum extent permitted by law, Anycomp’s total liability for any claim arising from your use of the Platform is limited to the greater of:
- The amount you paid Anycomp for services in the 12 months preceding the claim, or
- RM1,000.
11.2 Excluded Damages
Anycomp is not liable for:
- Direct, indirect, incidental, or consequential damages, including loss of profits, revenue, goodwill, or reputation.
- Errors, negligence, or misconduct by Company Secretaries or third parties.
- Delays, mistakes, or rejections of filings by SSM or other regulators.
- Platform downtime or interruptions due to maintenance, cyberattacks, or force majeure.
11.3 Acknowledgment
You acknowledge that Company Secretaries, not Anycomp, are responsible for the accuracy, legality, and compliance of their services, and Anycomp does not guarantee the success of any incorporation or business operations.
12. Indemnification
12.1 User Responsibility
By using the Anycomp Platform, you agree to indemnify, defend, and hold harmless Anycomp, its officers, directors, employees, affiliates, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from:
- False, misleading, or unlawful information or documents you submit, including company incorporation filings.
- Infringement of third-party intellectual property, privacy, or contractual rights through your use of the Platform.
- Fraudulent, deceptive, or unlawful activities, such as misusing escrow or payment systems.
This indemnification applies whether the claim results from your intentional actions, negligence, or violations. Anycomp may assume control of the defense in any claim, and you agree to cooperate fully.

13. Termination & Suspension
13.1 Grounds for Action
Anycomp may suspend, restrict, or terminate your account or access to the Platform at its discretion for:
- Fraud, illegal activities, or misconduct (e.g., money laundering, tax evasion).
- Non-payment of fees, subscriptions, or escrow obligations.
- Breach of these Terms or Policies, including off-platform engagements, intellectual property violations, or unauthorized account use.
- Behavior harmful to Anycomp, its users, or business interests.
13.2 Effects of Termination
Upon suspension or termination:
- Your access to the Platform and services will be revoked immediately.
- Clients retain ownership of their company data and documents, but Anycomp may retain copies for regulatory compliance (e.g., SSM requirements), dispute resolution, or legal proceedings, per Malaysian law.
- Pending escrow funds may be frozen, withheld, or disbursed per the Escrow Terms.
- Anycomp is not liable for financial losses due to termination if taken in accordance with these Terms.
13.3 User Responsibilities
After termination, you must:
- Immediately cease using the Platform.
- Fulfill any outstanding obligations or liabilities incurred prior to termination, including payments or dispute resolutions.
14. Dispute Resolution & Governing Law
14.1 Governing Law
These Terms and your use of the Anycomp Platform are governed by the laws of Malaysia, without regard to conflict of law principles.
14.2 Jurisdiction
Any legal action or claim arising from these Terms or the Platform must be brought exclusively in the courts of Kuala Lumpur, Malaysia, and you consent to their jurisdiction.
14.3 Dispute Resolution Process
Anycomp encourages amicable resolution of disputes. The process is:
- Internal Resolution: Contact Anycomp’s support or compliance team to resolve issues informally.
- Mediation: If unresolved within a reasonable time, parties may agree to mediation with a neutral mediator.
- Arbitration (Optional): If mediation fails, parties may agree to binding arbitration, subject to mutual consent.
You must continue complying with these Terms during any dispute, including payment and lawful conduct obligations.
15. Modification to Terms
15.1 Right to Update
Anycomp may amend these Terms or incorporated Policies (e.g., Privacy Policy, Payment Terms) at any time to reflect changes in law, regulations, or Platform features.
15.2 Notification
Material changes will be communicated via:
- Email to your registered account address.
- In-app notifications on the Platform.
15.3 Acceptance
Your continued use of the Platform after notification constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform and request account closure per Section 12.
15.4 Effective Date
Updates take effect immediately upon posting or notification, unless otherwise specified.
16. Miscellaneous
16.1 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a court, the remaining provisions remain in effect. The invalid provision will be interpreted to achieve its intended purpose to the extent possible.
16.2 Entire Agreement
These Terms, along with incorporated Policies (e.g., Privacy Policy, Payment Terms, Escrow Terms), form the entire agreement between you and Anycomp, superseding all prior agreements or communications.
16.3 Force Majeure
Anycomp is not liable for delays or failures in performance due to events beyond its reasonable control, including:
- Natural disasters, pandemics, or civil unrest.
- Government actions, laws, or regulations restricting access.
- Cyberattacks, network failures, or technical outages.
16.4 Assignment
- You may not assign, transfer, or delegate your rights or obligations under these Terms.
- Anycomp may assign its rights or obligations to affiliates, subsidiaries, or successors without notice.
16.5 No Waiver
Anycomp’s failure to enforce any provision does not waive its rights or remedies.
17. Ownership
17.1 Platform Intellectual Property
All rights, title, and interest in the Anycomp Platform, including software, infrastructure, website, apps, APIs, branding, logos, and aggregated data, are owned by Anycomp or its licensors. No ownership rights are transferred except for the limited license in Section 7.1.
17.2 User Content
- Clients own all company-related data, documents, and filings uploaded to the Platform.
- By uploading content, you grant Anycomp a limited, non-exclusive, worldwide, royalty-free license to store, process, and display it for Platform operations (e.g., transactions, escrow, eSignatures, compliance).
- This license does not transfer ownership and is solely for operational purposes.
17.3 Aggregated Data
Anycomp may use anonymized, aggregated data from Platform usage for analytics, Platform improvements, or marketing, provided it does not identify individual users or companies.
